Auckland, New Zealand – Burger Fuel Group Limited (NZX: BFG) will hold its hybrid Annual Shareholders Meeting at the Rakiura Room, Parkside Hotel & Apartments, Auckland, and via Zoom webinars at 11:30am (New Zealand time) on Thursday, 29 August 2024.

Meeting Agenda

The meeting will include presentations from the Chairman and CEO, a discussion of general business, and consideration of several resolutions:

  1. Election of Directors Alan Gourdie and Tristram van der Meijden are up for election as Directors of the company. Both bring extensive experience and have been determined to be Independent Directors by the Board.
  2. Director Remuneration A proposal to increase the directors' remuneration pool from $180,000 to $220,000 per annum will be considered. This increase accounts for additional independent directors and the transition period for the new Chair.
  3. Auditor’s Remuneration Baker Tilly Staples Rodway will be automatically re-appointed as the company's auditor, with the Board authorized to set the auditor’s fees.

Resolution 1: Election of Alan Gourdie as Director
Alan Gourdie, appointed by the Board on 1 October 2023, brings a wealth of international experience from his roles in various high-profile organizations. The Board supports his election as an Independent Director.

Resolution 2: Election of Tristram van der Meijden as Director
Tristram van der Meijden, appointed on 11 April 2024, has over 20 years of experience in various financial sectors. The Board unanimously supports his election as an Independent Director.

Resolution 3: Director Remuneration
This resolution proposes increasing the total directors' remuneration pool by $40,000 to $220,000 per annum to accommodate additional directors and ensure fair compensation.

Resolution 4: Auditor’s Remuneration
The resolution seeks authorization for the Board to fix the fees for Baker Tilly Staples Rodway, the company’s re-appointed auditor
