NZ RegCo Grants Waiver and Approval for Allied Farmers Limited

NZ RegCo has approved a waiver and constitutional changes for Allied Farmers Limited (NZX: ALF). The waiver from NZX Listing Rule 8.1.5 allows ALF to suspend voting rights for Affected Shares. The approval under NZX Listing Rule 8.1.6 lets ALF restrict the transfer and issue of shares that would breach the Ownership Threshold and require documentation for share transfers.

Conditions include ALF receiving a non-standard (NS) designation on the NZX Main Board, disclosing restrictions in offering documents, and getting NZX approval for compulsory share sales. The changes need 75% shareholder approval and aim to preserve shareholder rights while ensuring market transparency. The decision remains confidential until ALF announces the amendments and notifies shareholders of a special meeting to vote on them.
